On listing I stepped down as chairman but remain on the Board as the senior independent non-executive director ("SID"). As the SID I will chair both the Audit and Risk committee and the Remuneration committee, as well as sitting on the Nominations committee.
As Chairman I provided leadership and support to the executive management team from joining the Board in February 2012 until the IPO in November 2015. I was also responsible for managing the relationship between the management team and institutional shareholders, as well as taking an active role in several key external relationships. I drove the Board agenda including development of growth strategy, monitoring performance and the evolution of our capital structure.
The Gym is the UK's leading low-cost gym operator with an accelerating opening programme that will take the portfolio to over 65 sites open or in fit-out by 31 December 2015.
In June 2013 the business was sold to Phoenix Equity Partners, with management and the founding investors, Bridges Ventures, retaining a minority stake. I remained as Chairman following the transaction. This transaction won the "Venture Exit of the Year" Award in the prestigious unquote British Private Equity Awards 2013. From February 2012 to Present (3 years 11 months) Chairman @ Backed by Bridges Ventures, I invested in this e-commerce business and joined the Board as chairman in March 2014. Established in 2002, the business is growing rapidly, consisting of Woodhouse Clothing (www.woodhouseclothing.com) - an in-season premium branded menswear web site; Brown Bag (www.bbclothing.co.uk) - sells out of season branded menswear at discounted prices. GUS PLC - Group Financial Controller - Divisional CFO Reality - I joined GUS PLC - then a FTSE 100 international retail and services business - as Group Financial Controller in 1998 moving to FD of the newly formed Reality business services division (parcel delivery, call centre and IT) following the group re-organisation in 2000. As a main board director I had broad responsibilities that included finance, IT, legal, business risk and property.
I joined the business immediately post the PTP in 2007 and led the evolution of our capital structure, including the accelerated pre-payment of acquisition finance leading to a £250m dividend recap in March 2010. This involved securing >£0.5bn of debt sourced from a senior secured RCF, senior secured loans and unsecured high yield bonds. The senior secured loans were refinanced by a senior secured high yield bond issue in March 2011.
My management style is very open, direct, hands on when necessary and always very commercial. This style and energy has taken me to all areas of our business, including a stint as acting CEO in 2010-11. As ever in retail, a focus on driving operational efficiency and cash generation alongside helping to drive organic sales and margin growth has been a major feature of my role.
I am very proud of the team that I built at Matalan which very much reflects my leadership style which is primarily to develop the team I have, occasionally topping up externally. As well as sitting on the NCP board I also sat on the board of a JV with Manchester city council.
