Senior Legal Counsel, Latin America @ - Provide legal advice to the Latin America Exploration and Business Development Units for the region with regards to legal, contractual and regulatory matters, including but not limited to the evaluation and monitoring of the legal and business developments in several Caribbean and South American countries, advice management on the legal and regulatory systems, prepare and coordinate risk analysis for the new country entry reports, participate in fact finding trips and due diligence, drafting and negotiations of confidentiality and data use agreements, review bidding rounds processes launched by regulatory agencies and NOC and coordinate the preparation of the bidding packages. - Provide legal advice to the Exploration Business Unit for the seismic and drilling activities in Peru with regards to legal, contractual and regulatory matters of the ConocoPhillips projects in such country, such as preparation, negotiation and administration of contracts with the government (including relinquishments and new acquisitions); preparation, negotiation and administration of contracts with partners, potential sellers and buyers such as FOAs, JOAs and PSAs; negotiation, drafting and administration of exploration, drilling and related services contracts; legal advice to the administration of the office in contractual and labor matters, with special consideration to inpat personnel administration, office management and logistics. - Managing the closing and deregistration of entities in Argentina, Chile, Colombia, Mexico, Peru, Ecuador and Venezuela. - Supervise the external legal advisors work in the region. - Member of the Arbitration Team handling major proceedings involving commercial and investment claims against Venezuela and Ecuador. - Member of the Arbitration Team handling 2 major proceedings involving commercial claims with a US contractor and a Venezuelan contractor From October 2007 to Present (8 years 3 months) General Counsel and Judicial Rep @ - Provide legal advice to the Latin America Business Unit and the Corporate office with regards to legal, contractual and regulatory matters of the ConocoPhillips projects in Venezuela, Ecuador, and Argentina. - Provide legal advice with regards to disposition of assets in Colombia and Argentina. - In Venezuela, I was in charge of: * Provide legal, contractual and regulatory advice with regards to the nationalization process of the company's oil projects in Venezuela. * Provide legal advice to the organization with regards to the company's interests in two extra heavy oil Projects in the Orinoco Oil Belt, including legal support to the administration of the project financing structures in place. * Provide legal support with regards to the company’s interests in an off-shore non associated gas exploration block in Venezuela. * Provide legal advice and support to the exploration and development activities of two offshore oil blocks in the eastern part of Venezuela, including partners relationships, negotiation of EPC contracts, negotiation and drafting of exploration, drilling and related services contracts, negotiation of marketing agreements and lifting procedures, negotiations and drafting of a unitization agreement. * Exercise the administrative and judicial representation of the company, including the set up of claim strategies towards the claims being presented against the COP entities in areas such as tax, royalties, labor, mercantile, environmental. * Represent the company's interests before public and private authorities. * Organize the revision and implementation of template and model contracts. * Preparation and negotiation of financial guarantees to support the projects’ activities. * Participation in negotiations for the construction and operation of synergy facilities. * Supervise the in-house legal department and the external legal advisors work. From August 2003 to October 2007 (4 years 3 months) Legal Manager and Judicial Rep @ - Provide advice to the Participants and first line Managers in legal and commercial matters. - Supervisory role over the in –house and external legal consultants and advisors - Preparation of legal archive system. - Provide legal advise during the construction phase of upstream and downstream facilities. - Exercise representation of the company in administrative and judicial procedures (such as fiscal, royalty, labor, mercantile, environmental issues). - Organize the review of model contracts (including general terms and conditions for sales, provision of work and services, procurement, EPCC, technical assistance). - Preparation of financial guarantees (including negotiations with the Insurance Chamber and its affiliates for accepting Sincor’s conditions). - Provide legal and tax advice for the regular operations of the company, including VAT recovery actions and asset capitalization. - Provide legal advise and documentation drafting for the marketing operations and related transactions, including participation in negotiations with clients and terminal services operators. - Participate in the handling of labor claims including collective labor agreements negotiations. - Responsible of the Legal and Other Conditions Certificate to be delivered under the First Stage Completion and render legal and financial advice for the delivery of the other certificates. - Participation in negotiations for the construction and operation of facilities with other operators and players in the areas of impact, such as the Petrozuata pipeline, Jose Industrial Complex facilities and the Sincor’s solids terminal attached to the Pequiven Jetty. - Provide legal and tax advice and draft documentation regarding lease and purchase of high-tech equipment, confidentiality, software license and maintenance agreements. - Negotiations with Governmental Authorities, land owners and possessors. From January 2000 to August 2003 (3 years 8 months) Legal Counsel E&P @ - Provide legal advice regarding the incorporation, tax planning and financing of joint ventures for the development of extra heavy crude oil and stream-refinery projects. - Evaluation of methods for asset capitalisation to the above-mentioned joint ventures. - Preparation of studies regarding legal feasibility of the State-owned participant’s dilution in such joint ventures. - Provide legal research and due diligence for PDVSA’s participation in the Peruvian privatisation of Refineria La Pampilla and Petrolube. - Participation in negotiations for the common ownership, use and operation of oil industry facilities, such as crude oil pipelines, coke and sulphur handling and terminal facilities. - Provide legal and tax advice for outsourcing of oil related activities, such as oil exploitation and terminal operation services agreements. - Provide legal and tax consultation for the administration of financing structures related to the purchase of gas compression plants and a refinery expansion project. - Revision and examination of letter of credits and other types of financial guarantees. - Provide general advice in international commercial and tax law, including conduction of procurement processes, oil sales, technical assistance and secondment of personnel contracts. - Provide legal and tax advice and draft documentation regarding lease and purchase of high-tech equipment, confidentiality, software license and maintenance agreements.
