From January 2000 to August 2003 (3 years 8 months) Legal Counsel E&P @ - Provide legal advice regarding the incorporation, tax planning and financing of joint ventures for the development of extra heavy crude oil and stream-refinery projects. - Evaluation of methods for asset capitalisation to the above-mentioned joint ventures. - Preparation of studies regarding legal feasibility of the State-owned participant’s dilution in such joint ventures. - Provide legal research and due diligence for PDVSA’s participation in the Peruvian privatisation of Refineria La Pampilla and Petrolube. - Participation in negotiations for the common ownership, use and operation of oil industry facilities, such as crude oil pipelines, coke and sulphur handling and terminal facilities. - Provide legal and tax advice for outsourcing of oil related activities, such as oil exploitation and terminal operation services agreements. - Provide legal and tax consultation for the administration of financing structures related to the purchase of gas compression plants and a refinery expansion project. - Revision and examination of letter of credits and other types of financial guarantees. - Provide general advice in international commercial and tax law, including conduction of procurement processes, oil sales, technical assistance and secondment of personnel contracts. - Provide legal and tax advice and draft documentation regarding lease and purchase of high-tech equipment, confidentiality, software license and maintenance agreements.
